Terms of Service Agreement

These Terms of Service form a legally binding agreement between BEANPOLE DIGITAL LIMITED and any individual or business purchasing services through this website.

By purchasing a subscription or retainer from BEANPOLE DIGITAL LIMITED, you acknowledge that you have read, understood and agree to be bound by these Terms.

2. Services

BEANPOLE DIGITAL LIMITED provides ecommerce performance optimisation services including but not limited to:

Services are delivered on a monthly subscription retainer basis.

3. Client Eligibility

BEANPOLE DIGITAL LIMITED provides services specifically for established UK-based ecommerce businesses.

By purchasing a subscription, clients confirm that they meet the following minimum requirements:

BEANPOLE DIGITAL LIMITED reserves the right to review client eligibility following subscription.

If it is determined that a client:

BEANPOLE DIGITAL LIMITED reserves the right to decline or terminate the service agreement.

Where this occurs within 7 days of subscription, the client may receive a refund at the discretion of BEANPOLE DIGITAL LIMITED and services will not commence.

4. Scope of Work

BEANPOLE DIGITAL LIMITED operates a structured optimisation model designed to improve ecommerce performance across advertising, landing pages, creative and tracking.

During the onboarding process, BEANPOLE DIGITAL LIMITED will review the client’s store, advertising accounts and analytics setup and develop a three-month optimisation roadmap.

This roadmap will outline the key optimisation priorities and tasks identified as most likely to improve performance.

The roadmap will be reviewed and agreed with the client during onboarding. Once agreed, BEANPOLE DIGITAL LIMITED will implement the roadmap according to its professional judgement and prioritisation of tasks.

At the end of each three-month period, the roadmap will be reviewed and a new three-month optimisation roadmap will be created based on performance data and testing outcomes.

Services are delivered according to the roadmap and subscription plan selected.

Each plan includes:

BEANPOLE DIGITAL LIMITED focuses on delivering the agreed roadmap and structured optimisation programme. As a result, ad-hoc requests, one-off tasks or additional work outside of the roadmap are not included within the subscription service unless otherwise agreed.

This approach ensures that resources are focused on the activities most likely to improve overall ecommerce performance.

5. Payment Terms

All retainers must be paid in advance each month.

If payment is not received at the start of the billing period:

Continued access to services is conditional upon active payment of the monthly retainer.

6. Cancellation & Notice Period

Clients may cancel their subscription by providing one calendar month’s written notice via email to:

7. Failure to Pay

If payment remains outstanding after notice has been issued, BEANPOLE DIGITAL LIMITED reserves the right to pursue recovery of the outstanding balance through appropriate legal or collection processes.

8. Plan Changes

Clients may request to upgrade or downgrade their plan at any time by contacting:

Upgrades may take effect immediately provided there are sufficient resources available. Otherwise, upgrades will also take effect from the following billing cycle.

Downgrades will take effect from the following billing cycle, as resources may already have been allocated for the current month.

9. Intellectual Property

All creative work, materials and deliverables produced for the client become the property of the client for business use once payment for the relevant billing period has been received.

These materials may not be resold, redistributed or commercialised independently without written permission from BEANPOLE DIGITAL LIMITED.

All proprietary frameworks, methodologies, processes and internal operational systems used by BEANPOLE DIGITAL LIMITED remain the intellectual property of the company.

10. Non-Solicitation

Clients agree not to solicit, hire, contract or otherwise engage individuals involved in delivering services through BEANPOLE DIGITAL LIMITED for a period of 12 months following the end of the client relationship.

11. Client Responsibilities

For services to be delivered effectively, clients agree to:

Repeated interference with accounts or access required to perform services may result in termination of services.

12. Exclusivity of Account Management

Where BEANPOLE DIGITAL LIMITED is managing advertising or optimisation activity, clients agree that no other agency or third party will make changes to the relevant accounts without prior agreement.

Repeated breaches may result in termination of services.

13. Communication

Client communication and collaboration will primarily take place through the designated project management platform used by BEANPOLE DIGITAL LIMITED.

This ensures transparency and visibility of all work carried out.

Operational, performance and account-related queries should be directed through this platform wherever possible.

14. Reporting & Performance Reviews

BEANPOLE DIGITAL LIMITED commits to:

15. Results Disclaimer

Digital marketing and optimisation outcomes depend on multiple external factors including market conditions, advertising platforms, competition and website performance.

BEANPOLE DIGITAL LIMITED does not guarantee specific results, performance improvements or revenue outcomes.

Our services focus on implementing data-driven optimisation, testing and best practices designed to improve performance over time.

16. Conduct

Clients are expected to maintain professional and respectful communication.

Abusive behaviour, harassment, defamatory conduct or attempts to disrupt operations may result in immediate termination of services.

Where termination occurs due to breach of these Terms, the one-month notice fee remains payable.

17. Limitation of Liability

BEANPOLE DIGITAL LIMITED shall not be liable for indirect, incidental or consequential losses including but not limited to loss of profits, advertising performance fluctuations or platform-related disruptions.

18. Advertising Platforms & Third-Party Services

Services provided by BEANPOLE DIGITAL LIMITED rely on third-party platforms including but not limited to advertising networks, analytics providers, hosting platforms and ecommerce systems.

BEANPOLE DIGITAL LIMITED has no control over the operation, availability, policies or algorithm changes of these third-party platforms.

We are not responsible for:

Clients remain responsible for complying with the policies and terms of all advertising platforms and tools used.

19. Advertising Spend Responsibility

All advertising spend is paid directly by the client to the advertising platform.

BEANPOLE DIGITAL LIMITED does not hold client advertising budgets.

Clients acknowledge that advertising platforms operate automated bidding systems which may occasionally result in:

BEANPOLE DIGITAL LIMITED shall not be liable for any overspend, underspend or budget delivery behaviour caused by advertising platform systems.

20. Chargebacks & Payment Disputes

Where services have been delivered and a client initiates a payment dispute or chargeback through their payment provider, BEANPOLE DIGITAL LIMITED reserves the right to provide documentation including:

Clients remain responsible for payment of services delivered in accordance with these Terms.

21. Data Access & Account Ownership

Clients retain ownership of their advertising accounts, analytics platforms and ecommerce systems.

BEANPOLE DIGITAL LIMITED will require appropriate access in order to deliver services.

If access to required systems is removed, restricted or otherwise unavailable, this may prevent services from being delivered.

Where access restrictions prevent work from being completed, BEANPOLE DIGITAL LIMITED cannot be held responsible for any resulting performance impact.

22. Force Majeure

BEANPOLE DIGITAL LIMITED shall not be liable for delays or failure to perform services where such delays result from circumstances beyond reasonable control, including but not limited to:

Clients acknowledge that BEANPOLE DIGITAL LIMITED utilises proprietary frameworks, optimisation methodologies, processes and internal systems developed through experience and research.

These methods form part of the intellectual property of BEANPOLE DIGITAL LIMITED.

Clients agree not to:

24. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of Northern Ireland and the United Kingdom.
